1. AGREEMENT TO TERMS

1.1 Acceptance of Terms

Welcome to Yugo, the AI data contribution platform operated by FutureBee AI & Linguistic Services LLP.

These Terms and Conditions (these "Terms") are a legally binding contract between you ("you," "your," or "Contributor") and FutureBee AI & Linguistic Services LLP ("FutureBeeAI," "we," "us," or "our") governing your access to and use of the Yugo platform, including both web and mobile applications (the "Platform").

By doing any of the following, you agree to these Terms:

• Creating an account on the Yugo Platform
• Accessing or browsing the Platform
• Clicking "I Accept," "I Agree," or similar buttons
• Participating in any Project or Task
• Submitting any content through the Platform
• Receiving any payment from FutureBeeAI

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE PLATFORM.

Your acceptance creates a binding legal contract with rights, obligations, and liabilities. We strongly encourage you to read these Terms carefully before using the Platform.

Order of Precedence

In case of conflict:

1. Project-specific terms control for that specific Project

3. These Terms control for all other matters
4. Applicable policies control for ethical and conduct matters

1.3 Project Agreements

Each time you accept a Project, you enter into a separate Project Agreement with FutureBeeAI that incorporates:

• These general Terms (foundation)
• The Privacy Policy (data protection)
• Project-specific terms (for that Project)
• All applicable policies

Key Points:

• Each Project is a distinct contract
• Accepting one Project doesn't obligate you to accept others
• We're not obligated to offer you additional Projects
• The Project Agreement becomes binding when you click "Accept Project" or similar

1.4 Legally Binding Contract

This is a formal legal agreement with enforceable rights and obligations.

Your Legal Obligations:

• Provide accurate information and keep it current
• Comply with all Terms and policies
• Maintain account confidentiality and security
• Submit only authentic, original work meeting quality standards
• Respect intellectual property rights and confidential information
• Comply with all applicable laws
• Accept consequences for violations

FutureBeeAI's Obligations:

• Provide Platform access and available Projects
• Review submitted content according to quality standards
• Pay for accepted and approved work
• Protect your personal information per our Privacy Policy
• Comply with applicable laws

Legal Consequences of Violations:

• Account suspension or termination
• Forfeiture of pending payments
• Legal action for damages
• Other consequences specified in these Terms

Professional Advice

These Terms contain important legal provisions, including liability limitations, dispute resolution procedures, and waiver of rights. If you don't understand any provision, consult a legal professional before accepting. By accepting, you confirm you've had sufficient opportunity to review and seek advice.

Yugo is a proprietary platform developed and operated by FutureBeeAI that connects Contributors worldwide with opportunities to create high-quality, ethically sourced datasets for artificial intelligence and machine learning.

Our Mission

We're committed to advancing ethical AI development through responsible data collection:

• Empowering Contributors: Providing global earning opportunities for individuals who contribute voices, images, language skills, and expertise to AI development
• Ethical Data Collection: Implementing rigorous consent management, transparency, and respect for contributor rights
• Quality Datasets: Supplying enterprise clients with professionally curated, high-quality datasets
• Diversity & Inclusion: Building datasets representing diverse demographics, languages, accents, and perspectives to reduce AI bias
• Transparency: Operating with clear terms, fair compensation, and honest communication about data usage

How Yugo Works

1. Contributors Register: Create or access accounts, complete verification, and provide qualifications (language proficiency, demographics, equipment)
2. Projects Offered: FutureBeeAI makes data collection, annotation, validation, and other Projects available based on client needs
3. Contributors Participate: Browse Projects, accept those matching your qualifications, complete Tasks per specifications
4. Quality Assurance: Submissions undergo rigorous review using automated systems and human evaluation
5. Compensation: Contributors receive payment for accepted and approved work
6. Dataset Creation: FutureBeeAI compiles accepted contributions into comprehensive datasets with preprocessing and quality validation
7. Client Licensing: FutureBeeAI licenses completed datasets to enterprise clients for AI/ML system training and deployment

Direct Community Model

We work directly with individual freelance Contributors through the Platform:

• Direct relationship between you and FutureBeeAI
• All projects, communications, payments, and support come directly from us
• Ensures transparency, accountability, quality control, and fair treatment

2.2 Types of Projects

Project availability varies based on client demand. Categories include:

Speech and Audio AI Projects

Recording, transcribing, or annotating audio for voice recognition and speech synthesis systems.

Examples:

• Scripted speech recording (reading provided scripts naturally)
• Conversational speech (natural dialogues for conversational AI)
• Wake word collection (recording trigger phrases like "Hey Assistant")
• Spontaneous speech (free speaking on assigned topics)
• Audio transcription (converting speech to accurate text)
• Speech annotation (labeling speaker, emotion, accent, language variety)
• Pronunciation recording (specific words, phrases, phonetic sounds)
• Multilingual voice data (various languages, dialects, accents)

Vision and Image AI Projects

Capturing, annotating, or validating visual data for computer vision and image analysis systems.

Examples:

• Facial image capture (photos under various lighting, angles, expressions)
• Object photography (specific objects, products, environments per specifications)
• Video recording (actions, gestures, facial expressions, activities)
• Image annotation (bounding boxes, labels, feature identification)
• Image classification (categorizing images into predefined classes)
• Keypoint annotation (marking facial landmarks, body joints, object corners)
• Semantic segmentation (outlining and labeling image regions/objects)
• Image quality assessment (evaluating technical quality and suitability)

Text and Natural Language Processing Projects

Creating, translating, annotating, or validating text for language models and text understanding systems.

Examples:

• Text creation (original sentences, paragraphs, stories, dialogues)
• Translation (accurate, fluent, culturally appropriate translation)
• Transcription (audio to written text with proper formatting)
• Text annotation (labeling entities, parts of speech, sentiment, intent)
• Text classification (categorizing by topic, sentiment, genre)
• Text comparison (evaluating quality, accuracy, preference)
• Proofreading and editing (correcting errors, improving formatting)

Annotation and Labeling Projects

Adding structured metadata, labels, tags, or classifications to data for AI training.

Examples:

• 3D cuboid annotation (dimensional boxes for 3D objects)
• Line and spline annotation (roads, boundaries, linear features)

Quality Assurance and Validation Projects

Reviewing, evaluating, rating, or verifying data to ensure dataset quality.

Examples:

• Data review (examining technical quality, accuracy, completeness)
• Annotation validation (verifying accuracy and guideline compliance)
• Comparison and rating (comparing versions, rating quality/preference)
• Quality scoring (assigning scores based on defined criteria)
• Error detection (identifying inconsistencies or issues)
• Consensus resolution (determining correct labels for conflicting annotations)
• Acceptability judgments (determining if content meets minimum standards)

Multimodal AI Projects

Working with multiple data types simultaneously (text + images, audio + video, etc.).

Examples:

• Video captioning (writing descriptions for video content)
• Image description (detailed textual descriptions of images)
• Audio-visual annotation (labeling both audio and visual elements)
• Cross-modal validation (verifying alignment between data types)

Important Notes:

• Not all Project types are always available
• Availability depends on client demand, business needs, and capacity
• You may qualify for some Projects but not others based on skills, demographics, location, or equipment
• New Project types may be introduced as AI technology evolves
• FutureBeeAI has no obligation to offer any specific Projects

2.3 Setting Clear Expectations

What Yugo IS:

• An AI Data Contribution Platform - Specifically designed for collecting data for AI/ML applications
• A Direct Community Platform - Direct connection between FutureBeeAI and individual Contributors
• An Independent Contractor Opportunity - Flexible earning opportunities as a freelance contractor
• A Global Platform - Operates worldwide, welcomes Contributors from virtually any country (subject to laws and sanctions)
• Quality-Focused - Emphasizes high-quality data through rigorous standards and professional QA
• An Ethical AI Initiative - Built on principles of informed consent, transparency, respect for rights, and data protection

What Yugo is NOT:

• NOT an Employment Platform - No employment relationship created. You're an independent contractor, not an employee. No employee benefits, protections, or guaranteed ongoing work.
• NOT a Guaranteed Income Source - No minimum income, regular work, or specific earning potential guaranteed. Project availability fluctuates. Some earn significantly; others earn little or nothing.
• NOT a Marketplace - Not a marketplace where you sell data directly to clients or negotiate terms. FutureBeeAI manages all client relationships and sets project parameters and compensation.
• NOT a General Gig Platform - Not like ride-sharing or food delivery. We focus exclusively on AI data collection, annotation, and validation work.
• NOT a Social Media Platform - Not for sharing content publicly or building social presence. Content submitted is used for AI training datasets, not public display.
• NOT a Data Marketplace Where You Retain Control - Once submitted and accepted, you grant FutureBeeAI and clients a license per these Terms. You retain certain data protection rights, but cannot control how AI models trained on your data are used.

Realistic Expectations

• Variable Income: Earnings depend on Project availability, your qualifications, performance quality, and time invested. Some Contributors earn substantial income through consistent participation; others earn modest supplemental income.
• No Guarantees: We cannot guarantee Projects will be available, that you'll qualify, that submissions will be accepted, or that you'll earn any specific amount.
• Quality Matters: Only work meeting our quality standards and accepted after review earns compensation. Rejected submissions don't earn payment, regardless of time or effort.
• Flexibility and Independence: Complete flexibility to choose Projects and when to work. However, this flexibility means you bear the risk of variable income with no entitlement to ongoing work.
• Professional Opportunity: For Contributors who consistently deliver high-quality work, understand requirements, and actively participate, Yugo can provide meaningful income and the satisfaction of contributing to ethical AI development.

3. DEFINITIONS

"Account" - Your registered user account on the Yugo Platform providing access to Projects and features.

"Client" - Third-party organizations that commission data collection projects or license datasets from FutureBeeAI.

"Compensation" or "Payment" - Monetary amount paid for User Content that has been submitted, reviewed, accepted, and approved.

"Confidential Information" - Non-public information disclosed by FutureBeeAI including: business information, technical information, Project details, Client identities, Platform technology, pricing, trade secrets, and any information marked or reasonably understood to be confidential.

"Contributor" - You, an individual with an Account who participates or may participate in Projects.

"Dataset" - Compiled, structured collection of User Content (typically from multiple Contributors) processed and prepared by FutureBeeAI for licensing to Clients for AI/ML applications.

"Effective Date" - Date you first accept these Terms or create your Account, whichever occurs earlier.

"FutureBeeAI," "we," "us," or "our" - FutureBee AI & Linguistic Services LLP, a limited liability partnership organized under Indian law, including affiliates, successors, and assigns.

"Intellectual Property" - All intellectual property rights, including patents, copyrights, trademarks, service marks, trade names, trade dress, trade secrets, database rights, moral rights, rights of publicity, and other proprietary rights.

"Personal Data" or "Personal Information" - Any information relating to an identified or identifiable individual (as defined in Privacy Policy).

"Platform" - The Yugo web-based and mobile applications (including all features, services, content, and technologies) operated by FutureBeeAI for AI data collection, annotation, and validation.

"Project" - A specific data collection, annotation, transcription, translation, quality assurance, validation, or other assignment offered through the Platform with defined specifications, requirements, guidelines, acceptance criteria, deadlines, and compensation terms.

"Project Agreement" - Individual contractual agreement formed each time you accept a Project, incorporating these Terms, Privacy Policy, and Project-specific terms.

"Sub-processor" - Third-party service provider engaged by FutureBeeAI to process data or provide services (cloud storage, payment processors, identity verification services, etc.).

"Task" - Individual unit of work within a Project. Example: A Project may involve recording 100 sentences, where each sentence recording is one Task.

"Terms" or "these Terms" - These Terms and Conditions in their entirety, as may be amended.

"User Content" - All data, content, materials, information, recordings, images, videos, text, annotations, translations, labels, or other submissions you provide, create, upload, or submit through the Platform in connection with Projects, including:

• Voice and audio recordings
• Photographs, images, and video recordings
• Written text, translations, and transcriptions
• Annotations, labels, tags, and classifications
• Ratings, comparisons, and quality assessments
• Any metadata, responses, or inputs you provide

"You," "your," or "Contributor" - The individual with an Account who participates or may participate in Projects as an independent contractor.

Interpretation Rules

Unless context requires otherwise:

• "Including" or "includes" means "including without limitation"
• Singular includes plural and vice versa
• "Or" is inclusive and means "and/or"
• Headings are for convenience only and don't affect interpretation
• "Days" means calendar days unless specified as "business days"
• "Writing" or "written" includes electronic communications
• "Person" includes individuals, corporations, partnerships, and other legal entities
• References to statutes include amendments, replacements, or successors

PART 2: Eligibility, Accounts, Projects & Content Rights

4. ELIGIBILITY AND ACCOUNT REGISTRATION

4.1 Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to create an Account and use the Platform.

Minors Under 18:

• May NOT create Accounts
• May NOT use the Platform independentl
• May NOT participate in Projects directly

Exception for Data Collection FROM Minors:

Some Projects involve collecting data from individuals under 18 (e.g., children's speech recordings). In these cases only:

• A parent or legal guardian must create and manage the Account
• The parent/guardian provides all consents on the minor's behalf
• The parent/guardian supervises all data collection activities
• See Privacy Policy for complete children's data protection details

We reserve the right to verify age at any time and may request identification.

4.2 Eligibility Requirements

To use the Platform, you represent and warrant that:

Legal Capacity:

• You have legal capacity to enter binding contracts
• You are not prohibited from accessing the Platform under applicable laws
• You are not located in a country subject to international sanctions or embargoes

Account Integrity:

• All information you provide is accurate, current, and complete
• You will maintain the accuracy of your Account information
• You will not create more than one Account
• You have not been previously banned or suspended from the Platform

Language Proficiency:

• For language-specific Projects, you are a native or fluent speaker of declared language(s)
• You can understand Project instructions
• You can communicate effectively with support

Technical Capability:

• You have necessary equipment (computer, smartphone, internet, microphone, camera as required)
• Your equipment meets minimum technical specifications for Projects you undertake
• You have basic technical literacy to navigate the Platform

Geographic Requirements:

• You provide accurate location information
• You comply with data protection and labor laws in your jurisdiction
• You have legal authorization to work as an independent contractor in your country

4.3 Account Registration

Required Information:

Personal Information:

• Full legal name
• Email address (valid and regularly monitored)
• Phone number (if required)
• Date of birth
• Gender
• Country of residence
• Native/fluent languages

Verification Information (if required - may not apply to all Project types):

• Government-issued photo ID (for identity verification and fraud prevention)
• Proof of address (may be required)
• Selfie or verification photo
• Language proficiency confirmation

Payment Information:

• Bank account details, PayPal account, Payoneer account, or other approved payment method
• Tax identification number (where required by law)

Profile Information:

• Skills and qualifications
• Available equipment
• Preferred Project types

4.4 One Account Per Person

Strict Policy: Each individual may have only ONE Yugo Account.

Prohibited:

• Creating multiple accounts
• Creating accounts using false identities
• Registering accounts on behalf of others (except parents for minors per Section 4.1)
• Sharing accounts with family or friends

Consequences:

• Immediate termination of all accounts
• Forfeiture of any pending payments
• Permanent ban from Platform
• Potential legal action for fraud

4.5 Keeping Information Current

You Must Promptly Update:

• Name changes (legal name change)
• Contact information (email, phone, address)
• Payment information (new bank account, PayPal email)
• Language proficiencies
• Any changes affecting eligibility

Failure to Update May Result In:

• Payment delays or failures
• Project eligibility issues
• Account suspension if information becomes materially inaccurate

5. ACCOUNT SECURITY AND RESPONSIBILITIES

5.1 Your Security Responsibilities

Your Account is personal and confidential. You are solely responsible for:

Password Security:

• Maintaining confidentiality of your username and password
• Using a strong, unique password (not used for other services)
• Never sharing credentials with anyone, under any circumstances
• Enabling two-factor authentication (MFA) if available

Device Security:

• Securing devices used to access the Platform
• Installing antivirus and security software
• Keeping software and operating systems updated
• Using secure internet connections (avoid public Wi-Fi for sensitive actions)

Activity Monitoring:

• Regularly monitoring Account activity for unauthorized access
• Reviewing payment history and Project participation

5.2 Absolute Prohibition on Account Sharing

YOU MAY NOT, UNDER ANY CIRCUMSTANCES: 

• Share your login credentials with any other person
• Allow another person to use your Account
• Access the Platform using another person's credentials
• Create an Account for someone else (except parent for minor)
• Let family members, friends, or colleagues use your Account

Why This Matters:

Account sharing:

• Violates consent - We cannot verify who actually consented to data collection
• Compromises data authenticity - We cannot confirm identity or qualifications of actual contributor
• Creates security risks - Exposes your Account and personal data to unauthorized access
• Enables fraud - Facilitates payment fraud and identity theft
• Breaches contract - Violates fundamental terms of our agreement
• Harms data quality - Clients rely on verified contributor demographics and qualifications

5.3 Detection and Consequences

How We Detect Unauthorized Access:

Technical Detection:

• Multiple simultaneous logins from different locations
• Rapid geographic changes in login locations
• Device fingerprint analysis
• IP address monitoring
• Behavioral pattern analysis

Quality-Based Detection:

• Sudden changes in data quality or submission patterns
• Inconsistent demographic characteristics
• Performance anomalies
• Timing and behavior inconsistencies

Consequences of Account Sharing:

Immediate Actions:

• Account suspension pending investigation
• Data quarantine (affected User Content excluded from datasets)
• Payment hold (compensation withheld)
• Access restriction

Potential Outcomes:

First-Time Minor/Unintentional: Written warning, mandatory password reset, education on security, potential 1-7 day suspension

Serious or Repeated Violations: Permanent account termination, forfeiture of ALL pending payments, removal of User Content from datasets, permanent ban, legal action for fraud

Your Liability: You are responsible for:

• All activities occurring under your Account, whether authorized or not
• Compensating FutureBeeAI for damages, losses, or costs incurred

5.4 Reporting Unauthorized Access

If You Suspect Your Account Was Compromised:

Immediate Actions:

1. Change your password immediately
2. Log out of all devices
3. Contact security: hello@futurebeeai.com with subject line "COMPROMISED ACCOUNT - [Your Username]"

Provide in Your Report:

• When you noticed suspicious activity
• What unusual activity occurred (unfamiliar logins, unexpected projects, unrecognized payments)
• Whether you ever shared credentials (honest disclosure helps investigation)
• Any suspicious emails, messages, or phishing attempts

Our Response: We will immediately investigate, secure your Account, reset credentials, review activity logs, remove fraudulent content, restore legitimate access, and work with you to prevent future breaches.

Important: If you shared credentials (even unintentionally), be honest. Early disclosure may result in more lenient consequences. We appreciate good-faith cooperation.

5.5 Password Best Practices

Strong Password Requirements:

Your password must:

• Be at least 8 characters long (12+ recommended)
• Include uppercase AND lowercase letters
• Include at least one number
• Include at least one special character (!@#$%^&*)
• NOT be used for any other online account
• NOT contain easily guessable information (name, birthdate, "password123")

Password Management:

• Use a reputable password manager
• Change password every 6-12 months
• Change immediately if you suspect compromise
• Never write passwords in unsecured locations
• Never send passwords via email or messaging apps

We Will NEVER:

• Ask for your password via email, phone, or message
• Request your password for "verification" purposes
• Store your password in plain text (we use secure hashing)

If anyone claiming to be from FutureBeeAI asks for your password, it is a scam. Report to hello@futurebeeai.com immediately.

6. PROJECTS AND TASKS

6.1 Project Availability and Selection

How Projects Are Assigned:

FutureBeeAI makes Projects available based on:

• Project requirements (language, demographics, skills, equipment)
• Contributor qualifications and profile
• Contributor performance history and quality ratings
• Geographic distribution needs
• Platform capacity and demand

No Guarantee of Work:

• FutureBeeAI does NOT guarantee: 
• Availability of Projects
• Assignment to specific Projects
• Minimum number of Projects
• Continuous or regular work opportunities
• Any minimum earnings or income

Project availability varies based on Client demand, seasonal factors, and business needs. You have no contractual right to be assigned Projects.

Voluntary Participation:

• You may browse available Projects you're eligible for
• You may choose which Projects to participate in
• Participation is completely voluntary
• You may decline Projects without penalty (except repeated abandonment - see Section 6.6)

Project Acceptance Creates Binding Agreement:

By accepting a Project, you agree to:

• Complete the Project according to specifications and guidelines
• Meet quality standards and deadlines
• Comply with Project-specific terms and instructions
• Submit authentic, original work

Each Project acceptance creates a binding Project Agreement between you and FutureBeeAI.

6.2 Project-Specific Terms and Guidelines

Each Project has specific requirements, which may include:

Technical Requirements:

• Equipment specifications (microphone quality, camera resolution, recording environment)
• Software or app requirements
• File format or submission specifications

Content Requirements:

• Scripts or prompts to follow
• Annotation guidelines and standards
• Translation quality criteria
• Specific data collection instructions

Participant Requirements:

• Demographic criteria (age range, gender, ethnicity, accent)
• Language proficiency requirements
• Skills or experience needed
• Geographic or cultural background

Quality Standards:

• Acceptance criteria for submissions
• Review and QA processes
• Grounds for rejection or revision requests

Compensation Details:

• Payment rate per Task or per Project
• Bonus or incentive structures
• Payment timeline

Consent and Rights:

• Specific consents required (e.g., facial data collection, ethnicity disclosure)
• Data usage descriptions
• Licensing terms specific to that dataset

You Must: 

• Review all Project-specific terms before accepting
• Understand and agree to all requirements
• Ask questions if anything is unclear (contact support before starting)

Precedence: In case of conflict, Project-specific terms govern for that specific Project only.

6.3 Task Completion and Quality Standards

When Completing Tasks, You Must:

Follow Instructions: 

• Read and follow all Project guidelines carefully
• Complete Tasks exactly as specified
• Use provided scripts, prompts, or materials correctly
• Meet technical specifications (file format, quality, duration)

Submit Authentic Work: 

• All User Content must be your own original work
• For speech: Use your own voice (not recordings, voice changers, or someone else's voice)
• For images/video: Capture original media (not stock photos, downloaded images, or someone else's content)
• For text: Write original content or translate authentically (no undisclosed machine translation)
• For annotations: Provide your own judgments and labels (not copied from others)

Submit Timely: 

• Complete Tasks within specified timeframes
• Respect Project deadlines and Task expiration times
• Notify FutureBeeAI promptly if you cannot complete an accepted Task

Submit Completely: 

• Submit all required components of each Task
• Provide all requested metadata
• Complete all required steps in the workflow

6.4 Review, Acceptance, and Rejection

Quality Assurance Process:

• Most submissions reviewed within 3-5 business days
• Some Projects may have expedited review (24-48 hours)
• Complex Projects may take longer (up to 14 days)
• You'll be notified via Platform notification and/or email

Acceptance Criteria:

User Content must meet ALL of the following:

• Technical Quality - Meets specifications, no corrupted files or technical errors
• Content Quality - Follows Project guidelines accurately, demonstrates required skill level, free from errors
• Authenticity - Original work by you (not plagiarized, copied, or fabricated), genuine effort (not low-effort or automated)
• Appropriateness - Complies with content standards (no prohibited content), professional and respectful, suitable for AI datasets

6.5 Rejection and Revision

Common Grounds for Rejection:

Technical Issues:

• Poor audio quality (excessive noise, distortion, low volume, clipping)
• Poor image/video quality (blurry, dark, poorly framed, wrong resolution)
• Incorrect file format or corrupted files
• Incomplete submissions or missing components

Content Issues:

• Does not follow Project guidelines or instructions
• Contains errors (mispronunciations, grammatical errors, incorrect annotations)
• Low-effort or insufficient quality
• Not authentic or original (copied, machine-generated, plagiarized)

Compliance Issues:

• Contains prohibited content
• Violates consent or rights of others
• Does not meet demographic or qualification requirements
• Submitted by unauthorized person (account sharing)

Fraud/Abuse:

• Fraudulent or fake submissions
• Gaming the system or attempting to cheat quality checks
• Bulk low-quality submissions for quick payment
• Resubmitting previously rejected content without changes

No Payment for Rejected Work:

Rejected User Content is NOT eligible for payment. Time and effort spent on rejected work is not compensated. We have no obligation to pay for work that does not meet standards.

For certain Projects and rejection reasons, you MAY be offered a chance to revise and resubmit:

• Close to meeting standards but needs improvements

Revision Process:

1. Review feedback and understand what needs correction
2. Make necessary improvements

4. Resubmission goes through same review process

Revision Limitations:

• May be limited to 1-2 revision attempts per Task
• Not all rejections are eligible for revision
• Repeated revisions for same issues may result in Project removal
• Revision offers are at FutureBeeAI's discretion

6.6 Performance Tracking and Project Commitment

Performance Metrics We Track:

• Acceptance Rate: Percentage of submissions accepted on first review
• Quality Score: Average quality rating of accepted submissions
• Completion Rate: Percentage of accepted Projects completed
• Timeliness: On-time submission rate
• Violation History: Any instances of fraud, abuse, or Terms violations

Impact on Your Account:

Project Access:

• High performers may get priority access to premium Projects
• Low performers may have limited Project access
• Consistently poor performance may result in Project restrictions

Quality Tiers:

• Contributors may be assigned quality tiers based on performance
• Higher tiers may unlock better-paying or more interesting Projects

Account Standing:

• Good standing: Full Platform access
• Probation: Limited access, enhanced monitoring
• Suspension: Temporary inability to participate
• Termination: Permanent account closure

Acceptable Performance Standards:

To maintain good standing:

• Maintain acceptance rate of at least 90% (90% of submissions accepted on first review)
• Avoid patterns of low-quality or fraudulent submissions
• Complete accepted Projects within deadlines
• Respond to revision requests within specified timeframes

Substandard Performance Consequences:

• Below 75%: May receive warnings, reduced Project access, or account review
• Below 50%: May result in account suspension or termination
• Pattern of fraud: Immediate termination regardless of overall acceptance rate

Project Abandonment:

"Abandonment" occurs when you:

• Accept a Project but do not submit any Tasks
• Stop partway through a multi-Task Project without notice
• Miss Project deadlines without communication
• Accept Projects with no intention of completing them

Consequences of Repeated Abandonment:

• Warning for first instance
• Temporary restriction from Projects after 2-3 abandonments
• Account suspension for chronic abandonment
• Termination for egregious or fraudulent abandonment patterns

Legitimate Withdrawal: If you cannot complete an accepted Project due to legitimate reasons (illness, technical issues, personal emergency):

• Contact support immediately
• Explain the situation
• We may excuse legitimate withdrawals on a case-by-case basis
• Chronic legitimate withdrawals may still affect Project access

7. USER CONTENT AND INTELLECTUAL PROPERTY

7.1 License Grant to FutureBeeAI

Your Ownership:

You retain ownership of the underlying personal data in your User Content, subject to data protection laws and your rights under our Privacy Policy.

License to FutureBeeAI:

By submitting User Content through the Platform, you grant FutureBeeAI and its Clients a:

• Perpetual - Lasts forever, does not expire
• Irrevocable - Cannot be cancelled (except as required by data protection law for personal data)
• Worldwide - Valid in all countries and jurisdictions
• Royalty-free - No ongoing payments beyond Compensation
• Fully sublicensable - Can be sublicensed to Clients and their sublicensees
• Transferable - Can be transferred if FutureBeeAI is acquired or merged

License to use your User Content for:

Primary Purposes:

• Including in AI training datasets
• Licensing to Clients for AI/ML model development
• Preprocessing, formatting, augmenting, or modifying for dataset creation
• Quality assurance, validation, and review
• Creating derivative works (e.g., augmented data, synthetic variations)

Secondary Purposes (with restrictions):

• Platform improvement and development
• Research and development
• Demonstration and marketing
• Legal compliance and dispute resolution

Rights Granted Include:

• Reproduce - Make copies in any format or medium
• Distribute - Share with Clients, sub-processors, and authorized parties
• Display - Show or display publicly or privately
• Perform - Perform or play publicly or privately (for audio/video)
• Modify - Edit, adapt, reformat, or create derivative works
• Translate - Convert to other languages or formats
• Combine - Merge with other data in datasets
• Sublicense - Grant sublicenses to Clients and their authorized users

7.2 Scope and Limitations of License

Limited to Lawful AI Development:

User Content may only be used for AI/ML training, development, testing, and deployment. User Content may NOT be used for unlawful purposes.

Subject to Your Data Rights:

For personal data, the license is subject to your rights under GDPR and other data protection laws:

• You retain the right to request access, rectification, erasure per our Privacy Policy
• However, data already delivered to Clients under existing licenses may be used per contract terms

Relationship Between License and Data Rights:

The license applies to: USE of your content for AI training

Your data protection rights remain intact:

• Access, deletion, and other rights per Privacy Policy
• If you request deletion, we will:
• Remove personally identifiable information where possible
• Stop including your data in NEW datasets
• Request that Clients stop using personal data already delivered
• Maintain anonymized versions in existing datasets where permissible

What This Means:

• You cannot demand Clients delete AI models already trained on your data
• You cannot demand datasets already delivered to Clients be recalled
• You CAN request FutureBeeAI stop future use and remove PII
• You CAN request deletion of your Account and personal data per Privacy Policy

7.3 Your Representations and Warranties

By submitting User Content, you represent and warrant that:

Ownership and Rights:

• You own all rights in your User Content OR have obtained all necessary permissions
• You have the legal right to grant the license
• Your User Content does not infringe or violate any third-party rights (copyright, trademark, publicity, privacy)

Authenticity:

Your User Content is original and authentic

• For speech: You used your own voice
• For images/video: You captured original media OR have rights to use provided media
• For text: You created original content or have rights to submitted text
• For translations: You performed translation yourself (with disclosed AI assistance if any)
• For annotations: You made genuine judgments and did not copy from others

Consent and Permissions:

You have obtained all necessary consents from any individuals appearing in or identifiable from your User Content

For recordings/images of others (family, friends, subjects):

• They have consented to being recorded/photographed
• They understand the User Content will be used for AI training
• They have consented to licensing per these Terms 
• For minors: Parents/guardians have provided all necessary consents
• You comply with all privacy and publicity rights of third parties

Accuracy:

• Information you provide about your User Content (metadata, demographics, language) is accurate
• You have not misrepresented your qualifications, identity, or capabilities
• Your User Content matches declared specifications and requirements

Compliance:

• Your User Content complies with these Terms and all Platform policies
• Your User Content does not contain prohibited content
• Your User Content was created in compliance with all applicable laws
• You have not violated any agreements, laws, or regulations in creating User Content

No Encumbrances:

• Your User Content is not subject to any liens, encumbrances, or third-party claims
• You have not previously licensed your User Content in a way that conflicts with this license
• No third party has any rights that would prevent FutureBeeAI's use

7.4 Prohibited Uses

FutureBeeAI and Clients MAY NOT use User Content for:

• Unlawful activities - Any illegal purpose under applicable law
• Harmful AI systems - Surveillance for oppression, social scoring for discrimination, autonomous weapons
• Privacy violations - Re-identification of anonymized data without authorization, targeted harassment
• Discrimination - Training models explicitly designed to discriminate based on protected characteristics
• Misinformation - Creating deepfakes or synthetic media to deceive or mislead
• Exploitation - Child exploitation, non-consensual intimate content
• Political manipulation - Voter suppression, election interference, unauthorized political advertising

Our Ethical Commitments:

FutureBeeAI commits to:

• Screening Clients for ethical AI practices
• Requiring Clients to sign agreements prohibiting harmful uses
• Reserving the right to terminate licenses if prohibited uses are discovered
• Cooperating with authorities if User Content is misused

Your Recourse:

If you believe your User Content has been used for prohibited purposes:

2. We will investigate and take appropriate action
3. We may terminate Client relationships if violations are confirmed

Limitation: While we prohibit these uses contractually, we cannot control all downstream uses of AI models trained on datasets containing your User Content. By participating in the Platform, you acknowledge this limitation.

7.5 Waiver of Moral Rights

To the extent permitted by applicable law:

You Waive:

• Right of attribution - Right to be identified as the author/creator of User Content in datasets or AI models
• Right to integrity - Right to prevent modifications, adaptations, or derivative works
• Right to object - Right to object to uses that may be considered derogatory 

In Jurisdictions Prohibiting Waiver:

Where moral rights cannot be waived:

• You agree not to enforce moral rights against FutureBeeAI or Clients
• You consent to all uses permitted under this Agreement
• This is the maximum extent permitted by law in your jurisdiction

Name and Likeness:

For projects involving your image, voice, or other identifiable characteristics:

• You grant FutureBeeAI and Clients the right to use your name, image, voice, likeness, and biographical information in connection with datasets and AI models
• FutureBeeAI will make reasonable efforts to pseudonymize or anonymize such data before distribution where feasible
• Your name and personal information will NOT be used for marketing or promotional purposes without separate consent

7.6 User Content Storage and Deletion

Storage:

• FutureBeeAI stores User Content securely on AWS S3 and other infrastructure
• Storage location may be in various regions globally
• User Content is subject to encryption and access controls

Retention:

• User Content is retained as described in Privacy Policy
• Generally retained as long as datasets remain commercially viable or Client licenses are active
• Retention may be shorter or longer based on specific Project terms and legal requirements

Deletion:

• You may request deletion of your User Content per Privacy Policy
• Deletion requests are subject to limitations described in Privacy Policy
• We will make reasonable efforts to delete or de-identify your User Content, but cannot recall data already delivered to Clients

8. PROHIBITED CONTENT AND CONDUCT8.1 Prohibited Content

You may NOT submit User Content that contains or promotes:

Illegal or Harmful Content:

• Violates any applicable law, regulation, or ordinance
• Infringes intellectual property rights (copyright, trademark, trade secret, patent)
• Violates privacy, publicity, or other personal rights
• Contains or facilitates illegal activities (drugs, weapons, fraud, hacking)

Sexually Explicit or Exploitative:

• Pornographic, sexually explicit, or obscene content
• Non-consensual intimate imagery (revenge porn, deepfakes)
• Sexualization or exploitation of minors
• Sexually suggestive content involving minors

Violent or Harmful:

• Graphic violence, gore, or torture
• Content promoting or glorifying violence, terrorism, or extremism
• Self-harm or suicide promotion
• Instructions for dangerous or harmful activities

Hateful or Discriminatory:

• Hate speech targeting race, ethnicity, religion, gender, sexual orientation, disability, etc.
• Content promoting discrimination, bigotry, or intolerance
• Slurs, epithets, or derogatory language targeting protected groups
• Nazi, white supremacist, or extremist ideology

Harassment or Abuse:

• Content harassing, bullying, or intimidating individuals
• Doxxing (sharing private information without consent)
• Threats or intimidation
• Stalking or unwanted contact

Misleading or Fraudulent:

• False, misleading, or deceptive content
• Impersonation of others
• Fraudulent or fake submissions
• Content designed to deceive quality assurance processes

Private or Confidential:

• Content containing others' personal information without consent (emails, phone numbers, addresses, IDs)
• Confidential, proprietary, or trade secret information
• Content you do not have rights to use or share

Malicious or Harmful:

• Viruses, malware, or other malicious code
• Content that could harm Platform infrastructure or security
• Phishing attempts or social engineering

Spam or Low-Quality:

• Spam, junk, or repetitive content
• Automated or bot-generated submissions (without disclosure where permitted)
• Gibberish or nonsensical content
• Low-effort submissions intended to game the system

Other Inappropriate Content:

• Shocking, disturbing, or gratuitously offensive content
• Content glorifying drugs, alcohol abuse, or illegal substances
• Animal cruelty or abuse
• Illegal gambling or betting
• Unauthorized political advertising or propaganda

Exceptions:

Some Projects MAY specifically request content that would otherwise be prohibited (e.g., collecting examples of hate speech for detection models). Such Projects will have:

• Explicit consent and content warnings
• Optional participation
• Clear information about content nature before acceptance
• Special protections and support

8.2 Prohibited Conduct

You may NOT:

Violate Platform Rules:

• Violate these Terms, Privacy Policy, or any Platform policy
• Circumvent or attempt to circumvent Platform restrictions or limitations
• Interfere with or disrupt Platform functionality or security

Fraud and Abuse:

• Engage in fraudulent activity (fake submissions, identity fraud, payment fraud)
• Create multiple accounts (each person may have only ONE account)
• Share your account credentials with others
• Use someone else's account or credentials
• Misrepresent your identity, qualifications, demographics, or location

Gaming the System:

• Use bots, scripts, or automation to complete Tasks (unless explicitly permitted)
• Submit bulk low-quality content for quick payment
• Copy or plagiarize others' work
• Collude with others to manipulate quality assurance or payments
• Attempt to reverse-engineer or exploit Platform algorithms

Unauthorized Access:

• Access areas of the Platform you are not authorized to access
• Attempt to hack, breach, or compromise Platform security
• Access other Contributors' accounts or data
• Probe, scan, or test Platform vulnerabilities

Intellectual Property Violations:

• Infringe copyrights, trademarks, or other IP rights
• Submit content you do not have rights to
• Use FutureBeeAI or Yugo trademarks without permission

Misuse of Platform:

• Use Platform for purposes other than AI data contribution
• Scrape, harvest, or extract data from the Platform
• Create derivative works of Platform technology
• Resell, redistribute, or commercialize Platform access

Harm to Others:

• Harass, threaten, or abuse other Contributors or FutureBeeAI personnel
• Share others' personal information without consent
• Violate others' privacy or rights

Legal Violations:

• Violate any applicable law in your jurisdiction
• Engage in money laundering or illegal financial activities
• Violate export control or sanctions laws
• Evade taxes or violate tax reporting requirements

8.3 Consequences of Violations

Depending on severity, consequences may include:

• Minor Violations: Warning and educational notice, rejection of specific submissions, temporary restriction from specific Project types
• Moderate Violations: Temporary account suspension (7-30 days), forfeiture of payments for violating submissions, removal from Projects, probationary status with enhanced monitoring
• Serious Violations: Permanent account termination, forfeiture of all pending payments, ban from creating new accounts, removal of all User Content from datasets, legal action for damages
• Egregious Violations (Fraud, illegal content, severe abuse): Immediate permanent ban, reporting to law enforcement or authorities, legal action for fraud/breach/damages, cooperation with investigations, potential criminal prosecution

FutureBeeAI's Discretion:

• We determine violations and appropriate consequences at our sole discretion
• We are not obligated to issue warnings before suspension or termination
• We may terminate accounts for any reason not prohibited by law
• We may aggregate minor violations into pattern-based enforcement

No Refund of Time or Effort:

If your submissions are rejected or account terminated for violations, you are not entitled to payment for time or effort spent. We do not compensate for work that violates Terms or standards.

8.4 Reporting Violations

False or malicious reports are themselves a violation and may result in suspension or termination of reporter's account. However, good-faith mistakes will not be penalized.

9. COMPENSATION AND PAYMENT

9.1 How You Earn Money

You Earn Compensation For:

• User Content that is submitted through the Platform
• Meets quality standards
• Accepted after review
• Complies with all Terms and policies

No Payment For:

• Rejected submissions
• User Content violating Terms or containing prohibited content
• Submissions from suspended or terminated accounts
• Submissions determined to be fraudulent or inauthentic
• Incomplete or abandoned Projects (unless partial payment specified)
• Time spent browsing Projects, reading guidelines, or unsuccessful work

9.2 Payment Rates and Structure

How Rates Are Determined:

Payment rates are set by FutureBeeAI and displayed for each Project before acceptance. Rates vary based on:

• Project type and complexity
• Skills or qualifications required
• Market demand and supply
• Language or demographic requirements
• Urgency or priority of Project

Bonuses and Incentives:

FutureBeeAI may offer (discretionary):

• Performance bonuses for high-quality Contributors
• Completion bonuses for finishing large Projects
• Referral bonuses for inviting new Contributors (if referral program active)
• Seasonal or promotional incentives

Bonuses are subject to specific terms communicated at time of offer.

9.3 Payment Process

Payment Accrual:

1. You submit User Content
2. Content undergoes quality review
3. If accepted, compensation accrues
4. Pending earnings displayed in your dashboard
5. Earnings move to "Payable Balance" when approved

Earnings are not final until approved and moved to Payable Balance.

Setting Up Payment:

You must provide valid payment details in Account Settings

Payment information must match your verified identity (name, country)

You are responsible for ensuring payment details are accurate and up-to-date

Payment Processing Time:

• Payment requests processed within 15-30 business days from request date
• Processing time varies based on payment method, region, banking holidays, and verification requirements
• First payment may take longer due to additional verification

Payment Frequency:

You may request payment:

• Weekly
• Monthly
• On-demand (subject to minimum threshold)

Some Projects may have specific payment schedules (e.g., milestone payments).

Payment Currency:

• Payments made in INR (Indian Rupees) or your local currency (depending on payment method and region)
• For international payments, currency exchange rates determined at time of payment
• Currency conversion fees may apply (borne by you)

9.4 Taxes and Your Responsibilities

Your Tax Responsibility:

You are solely responsible for all taxes on your earnings.

You must:

• Report and pay income taxes in your jurisdiction
• Pay GST or other applicable taxes
• Maintain records of your earnings
• Consult a tax professional for guidance on your tax obligations

FutureBeeAI does not withhold taxes except where required by law.

Tax Reporting:

• FutureBeeAI will provide tax reporting as required by law
• You may receive tax documentation per Indian tax laws (Form 26AS, TDS certificates)
• You are responsible for maintaining records

Withholding (Where Required by Law):

FutureBeeAI may withhold taxes if legally required:

• TDS (Tax Deducted at Source) for certain payments in India
• Withholding for certain international payments
• Withholding rates depend on your country and applicable tax treaties
• You may reduce withholding by providing appropriate tax forms

9.5 Payment Disputes and Errors

Keep records of your work and earnings for at least 90 days.

Limitation:

• FutureBeeAI's records are presumed correct unless you provide evidence of error
• We may request additional information to verify disputes
• Decision on payment disputes is at FutureBeeAI's sole discretion

9.6 Payment Holds and Forfeitures

• Account verification pending: Until verification complete (5-30 days)
• Quality investigation: Until investigation complete (5-30 days)
• Violation investigation: Until investigation complete (varies)
• Chargebacks or disputes: Until dispute resolved
• Legal hold: As required by legal process

You will be notified of holds and provided with information on resolution. You may be asked to provide additional information to release hold.

Payment Forfeitures:

You forfeit all pending payments if:

• Account termination for Terms violations
• Fraud or abuse (fraudulent submissions, identity fraud, gaming the system)
• Prohibited content (illegal or severely prohibited content)
• Severe violations (egregious violations of Terms or policies)

Partial Forfeiture: If only specific submissions violated Terms, only those payments may be forfeited. Legitimate earnings remain payable (at FutureBeeAI's discretion).

No Liability:

FutureBeeAI is not liable for forfeited payments resulting from your violations. You waive any claims to payments forfeited under these Terms.

9.7 Payment Methods and Fees

Updating Payment Details:

You may update payment method or details in Account Settings

Changes may take 1-2 payment cycles to take effect

Verify new payment details carefully (errors may result in payment delays or returns)

Payment Fees:

• FutureBeeAI does not charge fees for payments
• However, payment processors may charge fees:
• PayPal: May charge currency conversion or withdrawal fees
• Payoneer: May charge account maintenance or withdrawal fees
• Bank Transfer: May charge receiving or intermediary bank fees
• You are responsible for all third-party payment fees

Unclaimed Payments:

If payment fails due to incorrect payment details:

1. Funds are returned to your Payable Balance
2. You must update payment details and re-request payment

If payments remain unclaimed for 12 months:

• We will attempt to contact you via email or Platform notification
• Funds held for an additional 12 months
• After 24 months total, unclaimed funds may be forfeited per local unclaimed property laws

10. INDEPENDENT CONTRACTOR RELATIONSHIP

10.1 You Are NOT an Employee

You are an independent contractor, NOT an employee, agent, partner, or joint venture with FutureBeeAI.

What This Means:

No Employment Relationship:

• You are NOT entitled to employee benefits (health insurance, retirement plans, paid leave, provident fund, gratuity)
• You are NOT covered by employment laws applicable to employees (minimum wage, overtime, notice periods)
• You have NO expectation of ongoing work, regular hours, or minimum earnings
• You are NOT subject to FutureBeeAI's employee policies, procedures, or disciplinary actions (except as specified in these Terms)

No Control Over Your Work:

• You decide when, where, and how to complete Projects (within Project requirements)
• You choose which Projects to accept (subject to availability)
• You use your own equipment and resources
• FutureBeeAI does not direct your day-to-day activities or work schedule
• FutureBeeAI does not supervise your work methods or work location

No Exclusivity:

• You may work for other companies or clients
• You may participate in competing platforms (subject to confidentiality obligations)
• You have no obligation to accept any or all Projects
• FutureBeeAI may engage other Contributors or platforms for similar work

Tax Treatment:

• You are responsible for all taxes on your earnings (income tax, GST, professional tax)
• FutureBeeAI does not withhold income tax, provident fund, or ESI contributions (except where legally required through TDS)
• You will receive tax documentation as per Indian tax laws (Form 26AS, TDS certificates)
• You are NOT issued employee tax forms (Form 16)

No Authority:

• You have NO authority to bind FutureBeeAI to contracts or commitments
• You may NOT represent yourself as an employee or agent of FutureBeeAI
• You may NOT use FutureBeeAI's name or trademarks without permission

10.2 No Employment Rights or Benefits

Explicit Acknowledgment:

You acknowledge and agree that:

Nothing in these Terms creates an employment relationship under:

• The Industrial Disputes Act, 1947
• The Contract Labour (Regulation and Abolition) Act, 1970
• The Shops and Establishments Act
• Any other Indian or country-specific labor law

Nothing in these Terms creates an agency, partnership, or joint venture

You are NOT entitled to:

• Workers' compensation
• Employees' State Insurance (ESI)
• Provident Fund (PF/EPF)
• Gratuity
• Bonus
• Any other employment benefits

You waive any claims to employee status or employee rights under Indian law or any other applicable law

If Misclassification Occurs:

If you are later determined to be an employee by any court, labor authority, or arbitrator (despite these provisions):

• These Terms will be amended to reflect minimum legal requirements only
• However, you waive claims for prior period employment status or retroactive benefits to the extent permitted by law
• You agree to indemnify FutureBeeAI for any taxes, penalties, interest, or costs resulting from misclassification claims brought by you

10.3 No Guarantee of Work

FutureBeeAI has NO obligation to: 

• Provide Projects, Tasks, or work opportunities
• Offer any minimum number of Projects
• Ensure regular or continuous work
• Assign you to specific Projects
• Guarantee any minimum earnings or income

Project availability fluctuates based on Client demand and business needs. You have no right to minimum work, minimum earnings, or specific Projects.

10.4 At-Will Relationship

Either party may terminate the relationship at any time, for any reason or no reason, without notice or liability.

You may:

• Stop participating in Projects at any time
• Decline any or all Projects
• Close your Account without notice

FutureBeeAI may:

• Stop offering you Projects at any time
• Suspend or terminate your Account at any time
• Modify or discontinue the Platform at any time

There is no notice period requirement for either party (except as may be required by applicable law for certain actions).

10.5 No Exclusive Relationship

You are free to: 

• Work for other companies, including competitors
• Participate in other platforms
• Engage in any lawful business activities
• Accept work from anyone (subject to confidentiality obligations in Section 12)

FutureBeeAI is free to: 

• Engage other Contributors for similar work
• Use other platforms or services
• Engage employees, contractors, or agencies
• Operate other business lines

Neither party has exclusivity obligations.

11. CONFIDENTIALITY AND NON-DISCLOSURE

11.1 What Is Confidential Information?

"Confidential Information" means any non-public information disclosed by FutureBeeAI, including:

Business Information:

• FutureBeeAI's business plans, strategies, methods, and processes
• Client identities, relationships, and contracts (unless publicly known)
• Pricing, payment rates, and financial information
• Marketing plans and strategies
• Contributor data and statistics (aggregated or individual)

Technical Information:

• Platform technology, algorithms, and systems
• Software, code, and technical specifications
• Data processing methods and workflows
• Security measures and vulnerabilities
• API documentation and integrations

Project Information:

• Project details, specifications, and guidelines (beyond what's necessary to complete your work)
• Dataset composition, structure, and intended uses
• Client requirements and use cases
• Proprietary annotation schemas or methodologies

Proprietary Information:

• Trade secrets and know-how
• Intellectual property and inventions
• Research and development information
• Competitive intelligence

Other Information:

• Any information marked or identified as "Confidential"
• Any information that would reasonably be considered confidential or proprietary

11.2 Your Confidentiality Obligations

You Agree:

Non-Disclosure: 

• NOT to disclose Confidential Information to any third party without FutureBeeAI's prior written consent
• NOT to discuss Projects, Clients, or Platform details publicly (including social media)
• NOT to share Project instructions, guidelines, or specifications outside the Platform

Non-Use: 

• NOT to use Confidential Information for any purpose other than performing Projects and using the Platform as authorized
• NOT to use Confidential Information for your own benefit or the benefit of third parties
• NOT to use Confidential Information to compete with FutureBeeAI or its Clients

Protection: 

• Take reasonable measures to protect Confidential Information from unauthorized disclosure
• Use at least the same degree of care you use to protect your own confidential information
• Limit access to Confidential Information to yourself only (no sharing with family, friends, colleagues)

Notification:

Immediately notify FutureBeeAI if you become aware of any unauthorized disclosure or use

Cooperate with FutureBeeAI in preventing or mitigating unauthorized disclosure

11.3 Exceptions to Confidentiality

Confidential Information does NOT include information that:

• Was already public - Was in the public domain at time of disclosure or subsequently entered public domain through no fault of yours
• Was already known - Was already known to you at time of disclosure, with documentary proof
• Lawfully obtained - Was lawfully obtained from a third party without confidentiality restrictions
• Independently developed - Was independently developed by you without use of Confidential Information
• Approved for disclosure - Was approved for disclosure by FutureBeeAI in writing
• Required by law - Is required to be disclosed by law, regulation, court order, or government authority (provided you give FutureBeeAI prompt notice and opportunity to seek protective order)

11.4 What You Can and Cannot Say Publicly

What You MAY Say:

• "I participate in AI data collection projects through Yugo Platform"
• "I contribute to speech AI, vision AI, or text datasets" (in general terms)
• General description of task types (recording, annotation, translation)
• "I work as an independent contractor for FutureBeeAI"

What You MAY NOT Say:

• Specific Client names or projects (e.g., "I'm working on a project for [Client X]")
• Project details, specifications, or guidelines
• Dataset composition, size, or intended use
• Compensation rates or payment details
• Proprietary methodologies or processes
• Internal Platform information or statistics

Social Media:

• Do NOT post about specific Projects, Clients, or Project details
• Do NOT share screenshots of Platform, Projects, or instructions
• Do NOT share User Content you submitted (may violate confidentiality and Client rights)

If Uncertain:

If you're unsure whether you can disclose something, assume it's confidential and contact hello@futurebeeai.com for guidance.

11.5 Duration and Return of Information

Obligation Duration:

Your confidentiality obligations:

• Begin upon first access to Confidential Information
• Continue during your use of the Platform
• Survive for 5 years after termination of your Account or these Terms
• Survive indefinitely for information constituting trade secrets under applicable law

Upon Termination:

Within 10 days of Account termination or Project completion (whichever is earlier), you must:

1. Immediately cease using any Confidential Information
2. Delete, destroy, or return all Confidential Information in your possession
3. Certify in writing that you've complied (if requested by FutureBeeAI)

11.6 Consequences of Breach

Unauthorized disclosure or use of Confidential Information is a serious violation.

Consequences May Include:

• Immediate account termination
• Forfeiture of all pending payments
• Legal action for breach of contract
• Injunctive relief (court order to stop disclosure)
• Damages (compensation for harm caused)
• Criminal prosecution (if applicable under Indian law)

Irreparable Harm:

You acknowledge that unauthorized disclosure may cause irreparable harm to FutureBeeAI or its Clients, for which monetary damages may be inadequate. FutureBeeAI is entitled to seek injunctive relief without posting bond.

12. INTELLECTUAL PROPERTY RIGHTS

12.1 FutureBeeAI's Intellectual Property

Ownership:

FutureBeeAI (and its licensors) own all rights, title, and interest in:

• The Yugo Platform (software, technology, design, features, functionality)
• FutureBeeAI and Yugo names, logos, trademarks, and branding
• All Platform content (documentation, instructions, guides, graphics)
• All Platform data (except your User Content)
• All intellectual property in the above

Your License:

FutureBeeAI grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for AI data contribution
• View and follow Project instructions and guidelines
• Use Platform features as authorized

Restrictions:

You may NOT:

• Copy, modify, or create derivative works of the Platform
• Distribute, sublicense, or transfer your Platform access
• Remove or modify any proprietary notices or labels
• Use FutureBeeAI or Yugo trademarks without written permission
• Claim any ownership or rights in the Platform beyond your license

12.2 Your Intellectual Property

Your User Content:

• You retain ownership of your User Content, subject to the license you grant to FutureBeeAI and data protection rights (Privacy Policy)

Feedback and Suggestions: If you provide feedback, suggestions, or ideas about the Platform:

• You grant FutureBeeAI a perpetual, irrevocable, worldwide, royalty-free license to use, implement, and commercialize your feedback
• You waive any claims to compensation or attribution for feedback
• FutureBeeAI has no obligation to use or implement your feedback

12.3 Trademarks

Prohibited:

• Use FutureBeeAI or Yugo trademarks without written permission
• Create confusion about affiliation with or endorsement by FutureBeeAI
• Register domain names, social media handles, or trademarks confusingly similar to FutureBeeAI marks
• Use marks in a way that disparages or harms FutureBeeAI's reputation

Permitted:

• Truthfully state that you are a Contributor on the Yugo Platform (e.g., on a resume)
• Use marks as necessary to describe the Platform or your work (fair use)

13. THIRD-PARTY SERVICES AND LINKS

13.1 Third-Party Services

The Platform may integrate with or rely on third-party services:

• Payment processors (PayPal, Payoneer, banks)
• Cloud infrastructure (AWS)
• Identity verification services
• Communication tools
• Analytics services

Third-Party Terms:

Your use of third-party services may be subject to separate terms and privacy policies of those services. You are responsible for complying with third-party terms.

No Liability:

FutureBeeAI is not responsible for third-party services, their availability, performance, or terms.

13.2 Third-Party Links

The Platform may contain links to third-party websites or resources.

No Endorsement:

Links do not imply endorsement, approval, or affiliation with third-party sites.

Your Responsibility:

• You access third-party sites at your own risk
• Review third-party privacy policies and terms before using
• FutureBeeAI is not responsible for third-party content, services, or practices

14. PLATFORM AVAILABILITY AND MODIFICATIONS

14.1 Platform Availability

Best Efforts:

FutureBeeAI will make reasonable efforts to keep the Platform available and operational.

No Guarantee:

• However, we do NOT guarantee: 
• Continuous, uninterrupted, or error-free access
• Availability at any specific time
• Compatibility with all devices or systems
• Error-free operation or bug-free performance

Downtime:

The Platform may be unavailable due to:

• Scheduled maintenance (we will provide notice when possible)
• Unscheduled maintenance or emergency repairs
• Technical issues, server problems, or outages
• Internet or network disruptions
• Security incidents or attacks
• Force majeure events (natural disasters, pandemics, etc.)

No Liability:

FutureBeeAI is not liable for any losses, damages, or inability to complete Projects due to Platform unavailability.

14.2 Platform Modifications

Right to Modify:

FutureBeeAI may, at any time and without notice:

• Modify, update, or change Platform features, functionality, or design
• Add or remove Project types
• Change user interface or user experience
• Update technical specifications or requirements

No Obligation:

FutureBeeAI has no obligation to:

• Maintain any specific features or functionality
• Provide specific Project types or opportunities
• Support outdated devices or technologies

Your Acceptance:

By continuing to use the Platform after modifications, you accept the changes. If you disagree with changes, you must stop using the Platform.

14.3 Suspension of Service

FutureBeeAI may suspend or restrict your access to the Platform:

Temporary Suspension:

• During investigation of suspected Terms violations
• For security reasons or to prevent harm
• To perform maintenance or updates
• If required by law or court order

Reinstatement: If suspension was in error or investigation clears you, your access will be reinstated and any affected payments will be processed.

If suspension is upheld, it may become permanent termination

15. DISCLAIMERS AND WARRANTIES

15.1 Platform Provided "AS IS"

AS IS, AS AVAILABLE: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Disclaimer:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUTUREBEEAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability - That the Platform is suitable for general use
• Implied warranties of fitness for a particular purpose - That the Platform meets your specific needs
• Implied warranties of non-infringement - That use of the Platform will not infringe third-party rights
• Warranties arising from course of dealing or usage of trade

What This Means:

• We do not guarantee the Platform will meet your expectations
• We do not guarantee the Platform will be error-free, secure, or reliable
• We do not guarantee specific results, earnings, or outcomes
• We do not guarantee compatibility with your devices or systems

15.2 No Guarantee of Earnings or Work

No Income Guarantee: FutureBeeAI makes NO representations or warranties about:

• Availability of Projects or Tasks
• Amount or frequency of work opportunities
• Earnings potential or income levels
• Payment amounts or rates
• Acceptance rates or quality scores

Your Results May Vary:

• Earnings depend on many factors (availability, quality, speed, qualifications, market conditions)
• Some Contributors earn significant income; others earn little or nothing
• Past performance does not predict future results

No Minimum Guarantee:

You may earn ₹0 if no Projects are available or your submissions are rejected. You have no right to demand Projects, work, or minimum earnings.

15.3 Third-Party and User Content Disclaimers

Third-Party Services: FutureBeeAI disclaims all liability for third-party services integrated with the Platform. You are solely responsible for your interactions with third parties.

User Content: FutureBeeAI is not responsible for:

• Accuracy, quality, or legality of User Content
• User Content violating these Terms or laws
• User Content infringing third-party rights

While we review User Content for quality and compliance, we cannot review everything and are not liable for any User Content that violates Terms or laws.

16. LIMITATION OF LIABILITY

16.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUTUREBEEAI (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS) SHALL NOT BE LIABLE FOR:

Indirect Damages:

• Indirect, incidental, consequential, special, or punitive damages
• Loss of profits, revenue, or earnings
• Loss of business or business opportunities
• Loss of data or information
• Loss of goodwill or reputation
• Cost of substitute services or goods

Arising From or Related To:

• Your use of or inability to use the Platform
• Any Project or Task
• User Content (yours or others')
• Unauthorized access to your Account or data
• Errors, bugs, or defects in the Platform
• Platform unavailability or downtime
• Rejection of User Content or denial of payment
• Termination or suspension of your Account
• Any other matter related to these Terms or the Platform

Even If:

• FutureBeeAI was advised of the possibility of such damages
• Such damages were foreseeable
• The limited remedies provided fail of their essential purpose

16.2 Cap on Liability

TOTAL LIABILITY CAP:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUTUREBEEAI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF:

• Option A: ₹10,000 (Indian Rupees Ten Thousand)
• Option B: OR Total Compensation paid to you in the 12 months immediately preceding the claim

This cap applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

16.3 Essential Basis of Agreement

You acknowledge and agree that:

• These limitations of liability are an essential basis of the agreement between you and FutureBeeAI
• FutureBeeAI would not provide the Platform or these Terms without these limitations
• These limitations allocate risks between you and FutureBeeAI
• Compensation rates and business model reflect these limitations

16.4 Jurisdictions Not Allowing Limitations

Some jurisdictions do not allow certain limitations of liability.

In such jurisdictions:

• The above limitations apply to the maximum extent permitted by law
• Liability is limited to the minimum extent required by law
• Where liability cannot be excluded, it is limited to the extent possible

17. INDEMNIFICATION

17.1 Your Indemnification Obligation

You Agree to Indemnify, Defend, and Hold Harmless:

FutureBeeAI, its affiliates, Clients, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all:

• Claims
• Lawsuits
• Demands
• Liabilities
• Damages
• Losses
• Costs
• Expenses (including reasonable attorneys' fees)

Arising From or Related To:

• Your User Content: Claims that your User Content infringes third-party rights, violates laws, or causes harm
• Your Violations: Any violation by you of these Terms, policies, or applicable laws
• Your Conduct: Your conduct on the Platform, including prohibited conduct, fraud, abuse, or harassment
• Third-Party Claims: Claims by third parties whose rights you violated (e.g., individuals in recordings without consent)
• Misrepresentations: Any breach of your representations and warranties in these Terms
• Unauthorized Use: Unauthorized use of your Account (if resulting from your failure to secure Account)
• Tax Issues: Any tax liabilities, penalties, or claims arising from your failure to report or pay taxes

17.2 Indemnification Process

Notice: FutureBeeAI will provide you with prompt notice of any claim subject to indemnification.

Control:

• FutureBeeAI may, at its option, assume exclusive control of the defense and settlement
• You may not settle any claim without FutureBeeAI's prior written consent if it imposes obligations on FutureBeeAI

Cooperation: You will reasonably cooperate with FutureBeeAI in the defense of any claim, at your own expense.

No Limitation: Your indemnification obligations are in addition to, not in lieu of, any other remedies available to FutureBeeAI.

18. TERM AND TERMINATION

18.1 Term

• Effective Date: These Terms become effective on the date you first accept them or create your Account, whichever is earlier.
• Duration: These Terms continue until terminated by either party.

18.2 Termination by You

You May Terminate at Any Time:

Effect of Termination by You:

• Your access to the Platform will be terminated
• You will no longer be able to participate in Projects or earn Compensation
• Pending payments for accepted User Content will be processed per normal payment schedule

• Confidentiality obligations continue per Section 11.5
• You may request deletion of your personal data per the Privacy Policy

No Refunds: No refunds of time, effort, or payments for any reason.

18.3 Termination by FutureBeeAI

We May Terminate: FutureBeeAI may terminate these Terms and your Account at any time, for any reason or no reason, with or without notice.

Common Termination Reasons:

For Cause:

• Violation of these Terms or any Platform policy
• Fraudulent, abusive, or prohibited conduct
• Substandard performance or quality
• Repeated low-quality submissions or rejections
• Account sharing or security violations

Without Cause:

• Inactivity
• Business reasons (platform closure, restructuring, capacity constraints)
• Legal or regulatory requirements
• At FutureBeeAI's sole discretion

18.4 Effect of Termination

Upon Termination (By Either Party):

Immediate Effects:

• Your license to access and use the Platform terminates immediately
• You must immediately cease all use of the Platform
• You may no longer participate in Projects or submit User Content
• Outstanding Project commitments are cancelled

Survival: The following provisions survive termination:

• License grant to FutureBeeAI (for already-submitted User Content)
• Tax obligations
• Confidentiality obligations (for 5 years)
• Intellectual property provisions
• Disclaimers
• Limitation of liability
• Indemnification
• Dispute resolution
• General provisions

Payments:

• Termination by you or without cause: Pending payments for accepted User Content will be processed
• Termination for cause: Pending payments may be forfeited

User Content:

• License granted in Section 7 continues for already-submitted User Content
• User Content remains in datasets already delivered to Clients
• Future use of your User Content in new datasets ceases (but existing datasets continue to be licensed)

Data Deletion: You may request deletion of your personal data per Privacy Policy (see Privacy Policy for limitations).

18.5 No Liability for Termination

FutureBeeAI is not liable for any damages, losses, or harm resulting from termination of your Account or these Terms, whether termination was for cause, without cause, by you, or by FutureBeeAI.

This includes but is not limited to:

• Lost earnings or earning potential
• Lost access to Projects or Platform
• Forfeiture of pending payments (for violations)
• Reputational harm
• Emotional distress

You waive any claims against FutureBeeAI related to termination.

19. DISPUTE RESOLUTION

19.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

Jurisdiction: The courts of Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any disputes arising from these Terms or the Platform.

International Users: If you are located outside India:

• These Terms are still governed by Indian law
• You submit to the jurisdiction of Indian courts
• Your local consumer protection laws may provide additional rights (to the extent not waivable)

19.2 Informal Dispute Resolution

Mandatory Pre-Litigation: Before filing any legal claim, you and FutureBeeAI agree to attempt to resolve the dispute informally:

Step 2: Good Faith Negotiation The parties will attempt to resolve the dispute through good-faith negotiation for at least 30 days.

Step 3: Escalation If not resolved within 30 days, either party may pursue formal dispute resolution.

Exception: Informal resolution is not required for:

• Claims seeking injunctive relief (e.g., breach of confidentiality)
• Small claims court actions (within jurisdictional limits)
• Intellectual property infringement claims

19.3 Jurisdiction and Venue

• Exclusive Jurisdiction: Any legal proceedings shall be brought exclusively in the courts of Ahmedabad, Gujarat, India.
• Waiver: You irrevocably waive any objection to jurisdiction or venue in the courts of Ahmedabad, Gujarat, India.
• Waiver of Jury Trial: To the extent permitted by law, both parties waive any right to jury trial.

19.4 Class Action Waiver

YOU AND FUTUREBEEAI AGREE THAT DISPUTES MUST BE BROUGHT INDIVIDUALLY, NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

No Class Actions:

• Neither party may bring a claim on behalf of other Contributors or as part of a class
• No class-wide litigation
• No consolidation of multiple Contributors' claims

Opt-Out: If you disagree with the class action waiver, you may opt out by sending written notice to hello@futurebeeai.com within 30 days of accepting these Terms. If you opt out, you may not use the Platform.

Severability: If the class action waiver is found unenforceable, any class action must be brought in the courts of Ahmedabad, Gujarat, India.

19.5 Time Limit for Claims

Statute of Limitations: 

• You must bring any claim against FutureBeeAI within one (1) year of the date you first knew or should have known of the claim.
• Claims brought after one year are permanently barred.

20. GENERAL PROVISIONS

20.1 Entire Agreement

These Terms (together with the Privacy Policy and any Project-specific terms) constitute the entire agreement between you and FutureBeeAI regarding the Platform and supersede all prior or contemporaneous agreements, communications, and understandings (written or oral).

20.2 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable:

• The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable
• If modification is not possible, the provision will be severed
• The remaining provisions will remain in full force and effect

20.3 Waiver

Failure by FutureBeeAI to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

No waiver by FutureBeeAI of any breach or default is a waiver of any subsequent breach or default.

20.4 Assignment

By You:

You may NOT assign, transfer, or delegate these Terms or your Account to anyone without FutureBeeAI's prior written consent. Any attempted assignment without consent is void.

By FutureBeeAI:

FutureBeeAI may assign these Terms or any rights/obligations hereunder:

• To an affiliate or subsidiary
• In connection with a merger, acquisition, or sale of assets
• To any successor in interest

Assignment does not require your consent or notification (though we will make reasonable efforts to notify you).

20.5 No Third-Party Beneficiaries

These Terms are solely for the benefit of you and FutureBeeAI (and FutureBeeAI's successors and assigns).

Exception: FutureBeeAI's affiliates, Clients, and sub-processors may enforce provisions that benefit them (e.g., indemnification, confidentiality, license rights).

20.6 Force Majeure

FutureBeeAI is not liable for any failure or delay in performance due to causes beyond its reasonable control, including:

• Natural disasters (earthquakes, floods, hurricanes, pandemics)
• War, terrorism, or civil unrest
• Government actions or regulations
• Internet or telecommunications failures
• Strikes or labor disputes
• Cyberattacks or security incidents
• Supplier or vendor failures

During force majeure events:

• FutureBeeAI's obligations are suspended for the duration
• You are not entitled to payment for inability to complete Projects
• FutureBeeAI will make reasonable efforts to resume normal operations

20.7 Notices

To You: FutureBeeAI may provide notices:

• By email to your registered email address
• By posting on the Platform
• By in-Platform notification
• By mail to your registered address (for important legal notices)

Your Responsibilities:

• Keep your email address current
• Check email and Platform notifications regularly
• Emails to your registered address are deemed delivered when sent

20.8 Language and Interpretation

Primary Language: These Terms are drafted in English. In case of any conflict between English and translated versions, the English version controls.

Translations: Translations may be provided for convenience but are not legally binding.

Interpretation: In these Terms:

• "Including" means "including without limitation"
• Singular includes plural and vice versa
• "Or" is inclusive (meaning "and/or")
• "Days" means calendar days unless otherwise specified

Headings: Section headings are for convenience only and do not affect interpretation of these Terms.

20.9 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to:

• Payment obligations
• Intellectual property licenses
• Confidentiality obligations
• Disclaimers and limitations of liability
• Indemnification
• Dispute resolution

21. UPDATES TO TERMS

21.1 Right to Modify

FutureBeeAI reserves the right to modify, update, or change these Terms at any time, at its sole discretion.

Reasons for Updates:

• Changes in laws or regulations
• Changes to Platform features or functionality
• Addressing new risks or issues
• Clarifications or improvements to Terms
• Business or operational changes

21.2 Notice of Changes

Material Changes: For significant changes affecting your rights or obligations:

• Email notification to your registered email address at least 30 days before effective date
• In-Platform notification when you log in
• Posting of updated Terms on website/Platform with "Last Updated" date
• Summary of key changes provided

Non-Material Changes: For minor updates (clarifications, corrections, non-substantive changes):

• Updated "Last Updated" date
• Posting of updated Terms
• Effective immediately upon posting

21.3 Acceptance of Changes

Continued Use: By continuing to use the Platform after changes take effect, you accept the updated Terms.

If You Disagree: If you do not agree to updated Terms:

1. You must stop using the Platform
2. You may close your Account before changes take effect
3. Pending payments for accepted work will be processed
4. Provisions that survive termination will continue to apply (including license for already-submitted User Content)

21.4 Project-Specific Terms

Project-specific terms in effect at the time you accept a Project continue to govern that specific Project, even if Platform-wide Terms are later updated.

21.5 Notification Failure

Failure to provide notice does not invalidate updated Terms. You are responsible for regularly reviewing these Terms.

• "This is a job with regular income": This is freelance work. Income varies and is not guaranteed
• "I can share my account with family": Strictly one account per person. Sharing = immediate termination
• "I'll get paid for all work I submit": You only get paid for work that meets quality standards and is accepted
• "I can use someone else's voice/images": You must submit only your own original, authentic work
• "I can discuss projects on social media": Project details are confidential. Public disclosure = termination
• "FutureBeeAI guarantees minimum earnings": No guarantees of Projects, work, or income
• "I'm an employee with benefits": You're an independent contractor with no employee benefits
• "I can delete my data anytime and clients must stop using it": You can request deletion, but AI models already trained on your data may continue to be used

ACKNOWLEDGMENT AND ACCEPTANCE

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, CLICKING "I ACCEPT," OR PARTICIPATING IN ANY PROJECT, YOU ACKNOWLEDGE THAT:

• You have read these Terms in their entirety and understand them
• You agree to be bound by these Terms and all incorporated policies
• You meet all eligibility requirements (age, legal capacity, etc.)
• You understand the nature of the Platform and your relationship with FutureBeeAI as an independent contractor
• You understand your responsibilities including:
• Account security and confidentiality
• Quality standards and compliance
• Prohibited content and conduct rules
• You understand payment terms including:
• No guaranteed earnings
• Payment only for accepted work
• Acceptance requirements and quality standards
• You understand the intellectual property license you grant to FutureBeeAI for your User Content
• You accept the limitations of liability and disclaimers in these Terms
• You agree to dispute resolution provisions including governing law and jurisdiction in Ahmedabad, Gujarat, India
• You have had the opportunity to ask questions and seek clarification before accepting
• If you don't understand something, you have consulted with a legal professional or contacted our support team
